YourWebPartner.com Service Agreement

YourWebPartner.com and Client mutually agree as follows:

DESCRIPTION OF SERVICES -- YourWebPartner.com will provide Internet consulting and support services designed to meet the specific technical and marketing needs of the Client.  All services will be discussed before initiation, and are subject to Client approval.

FEES --  All YourWebPartner.com services are billed in 15 minute increments, with local travel time (if requested) billed one-way.  Additional outsourced services and third party products billed separately, upon client approval.  Please see Pricing for current rates, and Time Policies for current time policies.

DEPOSIT -- Before any work begins, Client will be required to provide a deposit as determined by YourWebPartner.com.

BILLING -- Each month, Client will be billed for the current month's services, plus any additional or incidental expenses.  Recurring monthly services are billed one month in advance.  Payments more than 30 days overdue will result in temporary account inactivation.  Accounts more than 45 days overdue are subject to cancellation.

STARTUP -- Client will be billed first and last month's charges for recurring monthly services, with the first month of services prorated based on the start of service date.

TERM/TERMINATION -- This Agreement may be terminated by either party, at any time with 30 days written notice.  YourWebPartner.com shall be entitled to payments for any fees accrued prior to the date of termination and for which YourWebPartner.com has not been paid.

RELATIONSHIP OF PARTIES -- It is understood by the parties that YourWebPartner.com is an independent contractor with respect to the Client, and not an employee of the Client.

PERFORMANCE OF SERVICES -- The manner in which services are to be performed and the specific hours to be worked by YourWebPartner.com shall be determined by YourWebPartner.com.

HOSTING -- YourWebPartner.com offers its fully managed hosting services on a best effort basis, without any warranty with regards to potential service interruption due to hacking, system failure, viruses, worms, etc. 

DOMAIN NAME REGISTRATIONS -- YourWebPartner.com offers its fully managed domain name registration services on a best effort basis, without any warranty with regards to potential service interruption due to theft, hacking, system failure, etc. 

NOTICES -- All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when received by the designated recipient.

CHANGES -- YourWebPartner.com may change this agreement from time to time at our discretion, by changing the online version of this document.  Client shall retain the option to continue under their existing agreement for 30 days, unless notified in writing of an exception to this policy.  

Other changes may also apply, if the amendment is made in writing, and agreed to by both parties.

ENTIRE AGREEMENT -- This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreements whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties.

SEVERABILITY -- If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid and unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

WAIVER OF CONTRACTUAL RIGHT -- The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

APPLICABLE LAW -- This Agreement shall be governed by the laws of the State of Georgia.
